Pricing policy

This pricing policy specifies the pricing rules applicable to the crypto-asset discretionary management services provided by Méreau Finance, as well as the conditions for the control, dissemination, and modification of these rules.


1. Principles

The purpose of this pricing policy is to specify:

  • the pricing rules applicable to the services provided by Méreau Finance; ;
  • the conditions for monitoring, distribution, and modification of this pricing policy.

This policy is subject to change. It is updated regularly and upon specific events, notably in the event of new regulatory obligations, a new customer category, changes in the activity or services offered, or any other significant event.

2. Services offered

Méreau Finance offers a discretionary crypto-asset portfolio management solution for individuals and businesses alike, including natural persons, legal entities, or other enterprises. Management is carried out through a personalized management mandate, which categorizes the investor's risk profile into defensive portfolio, classic portfolio, and offensive portfolio.

The relationship between Méreau Finance and its clients is contractually governed by this management mandate, signed by means of an advanced or qualified electronic signature, or an advanced or qualified electronic seal based on a qualified certificate, using a qualified electronic registered delivery service comprising the identity of the signatory or seal creator, issued by a qualified trust service provider listed on a national trusted list pursuant to Article 22 of Regulation (EU) No 910/2014 of 23 July 2014 on electronic identification and trust services for electronic transactions in the internal market.

The management mandate essentially provides for the following:

Méreau Finance acts in the name and on behalf of its principal, who entrusts it with a general mandate for the management of one or more crypto-asset portfolios.Preamble
The principal undertakes to make an initial transfer and, where applicable, subsequent deposits to the selected platform.Article 1.1

Méreau Finance does not provide crypto-asset custody services and does not hold any private keys belonging to the principal. Méreau Finance in no way guarantees the preservation or growth in value of the deposit and the portfolios under management. The principal expressly acknowledges having been informed of the risk of capital loss, partial or total, to which they are exposed.Article 3.2

Discovery Offer

A Discovery client refers to a client, whether an individual, a legal entity, or another business, whose investment commitment is equal to or greater than 5,000 euros and less than 30,000 euros.

  • Minimum subscription: 5,000 euros
  • Admission fee: 1,99 %
  • Management fees: 2,99 % T.T.C. per year of the value of all portfolios under management. These fees are calculated, billed, and paid annually, in accordance with the provisions of the management mandate.
  • Performance fee: 20 % (including tax) on the capital gain realized on the value of all portfolios under management compared to the previous period, calculated using the high water mark described below.
  • Exit fees: 1.99 % (including tax) of the total value of all portfolios to be liquidated in the event of termination requested before the three-year term has elapsed. This fee is reduced to 0 % after three years.

Méreau Finance partners may charge additional fees for their own services, in accordance with the terms and conditions agreed upon between these partners and the clients concerned.

4. Premium Offer

A Premium client designates a client, whether an individual, legal entity, or other business, whose investment commitment is equal to or greater than 30,000 euros and less than 100,000 euros.

  • Minimum subscription: 30,000 euros
  • Admission fee: 0,99 %
  • Management fees: 2,99 % T.T.C. per year of the value of all portfolios under management. These fees are calculated, billed, and paid annually, in accordance with the provisions of the management mandate.
  • Performance fee: 20 % (including tax) on the capital gain realized on the value of all portfolios under management compared to the previous period, calculated using the high water mark described below.
  • Exit fees: 0.99 % (including tax) of the total value of all portfolios to be liquidated in the event of termination requested before the end of the three-year term. This fee is reduced to 0 % after three years.

Méreau Finance partners may charge additional fees for their own services, in accordance with the terms and conditions agreed upon between these partners and the clients concerned.

5. Private Banking Offer

A Private Banking client refers to a client, whether an individual, legal entity, or other enterprise, whose investment commitment is equal to or greater than 100,000 euros.

  • Minimum subscription: 100,000 euros
  • Admission fee: 0 %
  • Management fees: 2,99 % T.T.C. per year of the value of all portfolios under management. These fees are calculated, billed, and paid annually, in accordance with the provisions of the management mandate.
  • Performance fee: 20 % (including tax) on the capital gain realized on the value of all portfolios under management compared to the previous period, calculated using the high water mark described below.
  • Exit fees: 0 % T.T.C., regardless of the duration of the term of office on the date of termination.

Méreau Finance partners may charge additional fees for their own services, in accordance with the terms and conditions agreed upon between these partners and the clients concerned.

6. Performance fee calculation method

Performance fees are due on the last day of each calendar year following the effective date of the investment management mandate, and only if the value of all portfolios under management on that date is higher than that of the last day of the preceding calendar year, after deducting any performance fees due for that year. For the first year following the effective date of the mandate, the initial reference index is the amount of the investment actually paid up on the date the relationship commenced. These fees are calculated, invoiced, and paid annually, in accordance with the provisions of the investment management mandate.

7. Monitoring, updating and dissemination of the pricing policy

7.1. Device

The obligations of this pricing policy are incorporated into the institution's operational procedures and internal control procedures. It is the responsibility of the President of Méreau Finance, within the framework of their permanent control, compliance, and periodic control responsibilities, to ensure the correct application of this set of procedures.

7.2. Internal control

Permanent monitoring of the pricing policy is implemented to ensure that its provisions are respected. These controls cover:

  • customer classification ;
  • compliance with the pricing policy established by customer type; ;
  • the calculation of Méreau Finance's remuneration; ;
  • the coverage of transaction fees by Méreau Finance.

7.3. Update frequency

The pricing policy is updated as needed, in particular in the event of new regulatory obligations, a new customer category, a change in activity or services offered, or any other structuring event. Any modification is recorded in writing by the President of Méreau Finance and validated by its Managing Director.

7.4. Diffusion

The pricing policy is distributed to all relevant staff in France and made available in a shared space accessible to all employees.
